1. Introduction

These Terms & Conditions ("Terms") govern the relationship between Zetaton ("we", "our", or "us") and any client or user ("you", "your") who engages our services.

By accessing our website or entering into a service agreement with us, you agree to abide by the following terms and any applicable laws.

2. Acceptance of Terms

By using Zetaton’s services or signing any project agreement, you agree to comply with these Terms and all applicable laws and regulations. If you do not agree, you should not use our services.

3. Description of Services

Zetaton provides custom software development, mobile app development, website development, UI/UX design, and digital marketing solutions. Specific deliverables, timelines, and responsibilities will be defined in project-specific agreements or proposals.

4. Client Responsibilities

Clients agree to:

  • Provide accurate and timely content, assets, and approvals.
  • Respond promptly to queries and feedback requests.
  • Maintain access to any accounts required for project completion (e.g., hosting, domain, third-party services).
  • Inform Zetaton of any major business or project changes that may affect delivery.

5. Payments and Invoicing

  • Payment terms are outlined in the service agreement or invoice.
  • Late payments may incur penalties or delay project progress.
  • Project deposits are non-refundable unless otherwise agreed in writing.
  • Zetaton may suspend services for overdue invoices beyond 15 days.

6. Use of Third-Party Tools and Licenses

Zetaton may recommend or use third-party platforms, plugins, tools, or services in your project. Costs for these services may:

  • Be included in the initial project estimate and billed to the client.
  • Be paid directly by the client to the third-party provider.
  • Be paid by Zetaton on behalf of the client and invoiced later, depending on the project agreement.

Clients are responsible for maintaining valid licenses post-project delivery.

7. Intellectual Property Rights

  • All original materials, code, and designs created by Zetaton for a project become the property of the client once full payment is received.
  • Pre-existing tools, libraries, or frameworks developed by Zetaton or third parties remain the property of their respective owners.
  • Zetaton reserves the right to reuse open-source or proprietary tools created for general use unless otherwise agreed upon.

8. Confidentiality

Zetaton agrees not to disclose any confidential information shared by the client, including business strategies, proprietary code, and user data, unless required by law or agreed in writing.

Clients also agree to maintain the confidentiality of any proprietary processes or business information shared by Zetaton.

9. Service Level Agreement (SLA)

As a professional software development firm, Zetaton commits to the following standards:

  • Response Time: Replies to communication within 24–48 business hours.
  • Bug Resolution: Critical issues resolved within 72 hours.
  • Uptime: If we host your application, we ensure 99.9% uptime.
  • Support Turnaround: General support handled within 3–5 business days.

These standards apply during the project and any agreed support period.

10. Revisions and Change Requests

Zetaton offers two (2) rounds of revisions during each major project phase (design and development). Any additional revisions or scope changes may:

  • Require updated cost estimates and timelines.
  • Be subject to approval via a formal Change Request.
  • Be billed at standard hourly rates or fixed fees, as agreed.

11. Maintenance and Post-Delivery Support

Zetaton provides optional maintenance and support services after project delivery:

  • 30-day bug fix period included post-launch (unless issues are caused by third parties or user error).
  • Ongoing support contracts can be arranged monthly or annually.
  • Platform/software upgrades may incur additional fees.

Without a maintenance plan, support is billed at an hourly rate.

12. Marketing Communication and Case Studies

With client permission, Zetaton may showcase project deliverables in our portfolio, website, social media, and marketing materials. We will never disclose sensitive business data or proprietary source code.

Clients may opt out of marketing use by submitting a written request.

13. Integration of Third-Party Services

Zetaton may recommend or implement third-party services (e.g., APIs, payment gateways, analytics tools). While we test and vet all integrations, we are not liable for:

  • Downtime or failures caused by third-party providers.
  • Policy or pricing changes made by third-party vendors.

Clients are responsible for complying with any third-party terms of service.

14. Limitation of Liability

Zetaton is not liable for:

  • Loss of profits, data, or business opportunities.
  • Damages resulting from misuse or unauthorized modification of delivered software.
  • Issues arising from third-party services or hosting providers.

Our total liability is limited to the amount paid for the specific service or project.

15. Warranty Disclaimer

All services and deliverables are provided “as is” without warranties of any kind, either express or implied. Zetaton does not guarantee that the software will be error-free or meet all client expectations outside of the agreed specifications.

16. Termination of Agreement

Either party may terminate the agreement with written notice:

  • If the other party breaches the terms and fails to remedy within 15 days.
  • For convenience, with 30 days' notice (unless otherwise specified in the contract).

Upon termination:

  • All unpaid invoices become due immediately.
  • Delivered work up to that point will be transferred to the client.

17. Dispute Resolution / Arbitration

If disputes arise, both parties agree to first attempt resolution through good-faith negotiation.

If unresolved:

  • The dispute will be resolved via binding arbitration under the American Arbitration Association.
  • Arbitration will occur in Milwaukee, Wisconsin.
  • Each party bears their own legal costs unless ruled otherwise.

18. Force Majeure

Zetaton is not responsible for delays or failures caused by unforeseen circumstances, including but not limited to:

  • Natural disasters
  • War or civil unrest
  • Internet or utility outages
  • Government restrictions
  • Epidemics or pandemics

We will notify clients promptly and work toward resuming service as soon as reasonably possible.

19. Governing Law

These Terms are governed by and construed under the laws of the State of Wisconsin, without regard to conflict of law principles.
